These Terms & Conditions ("Terms") are a legal agreement between you and Prashon Venture LLP ("Prashon Venture", "we", "us" or "our"). They apply to your use of this website and to enquiries or engagements connected with our portfolio businesses and services.

By accessing this website or contacting us, you confirm that you accept these Terms. If you do not agree, please do not use the site.

Where we enter into a separate written agreement, proposal or statement of work with you, that document governs the specific engagement, and these Terms apply to the extent they are not inconsistent with it.

"Services" means technology, digital product, e-commerce, consulting, support and related services offered by Prashon Venture LLP or its portfolio businesses, as described on this website or in an agreement with you.

"Portfolio businesses" means ventures operated or developed under Prashon Venture LLP, including active and upcoming brands listed on this website.

"Agreement" means any proposal, quotation, statement of work or other written terms we sign with you for a specific engagement.

"You" means the individual or organisation that uses this website or engages with us.

Prashon Venture LLP is a multi-business venture focused on technology, software products, digital platforms, e-commerce and consumer businesses. Information on this website about our portfolio, capabilities and ventures is for general information only.

It does not constitute an offer, warranty, or commitment to deliver any particular result. Scope, timeline, price and specifications of any engagement are defined only in a written Agreement between us.

Some portfolio businesses may be marked as Upcoming. Those ventures are not represented as fully launched until their status is updated.

When you contact us with a requirement, we may provide a proposal, quotation or estimate. Estimates are based on the information available at the time and may change if requirements or assumptions change.

An engagement begins only when both parties agree in writing on scope, deliverables, timeline and fees. Changes to an agreed scope will be handled through a written change request, which may affect timeline and fees.

To help us work effectively, you agree to:

• provide accurate, complete information and clear requirements;
• give timely feedback, approvals, access and materials we reasonably need;
• ensure you have the rights to any materials you provide to us; and
• designate a point of contact authorised to make decisions for your organisation.

Delays or incomplete information from your side may affect timeline and cost.

Fees, payment schedules and currency are set out in the applicable Agreement or invoice. Unless stated otherwise, invoices are payable within the period specified on the invoice. Fees are exclusive of applicable taxes and third-party costs unless we agree otherwise in writing.

We may pause work on overdue accounts after reasonable notice. Except where required by law or expressly agreed, fees paid are non-refundable for work already performed.

Website content. All content on this website — including text, graphics, logos and code — is owned by or licensed to Prashon Venture LLP and is protected by intellectual property laws.

Engagement deliverables. Unless an Agreement says otherwise, once we have received full payment for an engagement, deliverables created specifically for you under that engagement become your property.

Our pre-existing materials. We retain ownership of our pre-existing tools, frameworks, libraries, know-how and general skills. Where these are embedded in a deliverable, we grant you a non-exclusive licence to use them as part of that deliverable.

Portfolio use. Unless we agree otherwise in writing, we may reference your name, logo and a general description of the work in our portfolio and marketing, without disclosing confidential information.

Each party may receive confidential information from the other during an engagement. Both parties agree to keep such information confidential, use it only for the purpose of the engagement, and protect it with reasonable care. This does not apply to information that is public through no fault of the receiving party, was already known, is independently developed, or must be disclosed by law.

We will perform services with reasonable skill and care and in a professional manner. Any specific warranty will be set out in the applicable Agreement.

Except as expressly stated, this website and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the website will be uninterrupted, error-free or free of harmful components.

To the maximum extent permitted by law, Prashon Venture LLP will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or in connection with this website, our services or these Terms.

To the maximum extent permitted by law, our total aggregate liability arising out of an engagement will not exceed the fees paid to us for that engagement in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold harmless Prashon Venture LLP and its partners, employees and agents from claims, damages, losses or expenses arising out of your breach of these Terms, your misuse of the website or services, or your infringement of any third-party rights, including materials you provide to us.

These Terms apply while you use this website and, for engagements, for the duration set out in the applicable Agreement. Either party may terminate an engagement as provided in that Agreement, or where the other party commits a material breach that is not remedied within a reasonable notice period. On termination, you agree to pay for services performed and costs incurred up to the termination date.

Our website and services may rely on third-party platforms, APIs, hosting, licences or tools. We are not responsible for the availability, performance or terms of third-party services. This website may also link to third-party sites, including portfolio business websites such as Compameet, which we do not fully control.

When using this website, you agree not to:

• use it for any unlawful, harmful or fraudulent purpose;
• attempt unauthorised access to, or disrupt, the site or connected systems;
• introduce malware, or scrape, harvest or misuse data or content;
• submit false information, spam, or another person's data without permission; or
• copy or reuse the site's content without our permission, except as allowed by law.

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. By using this website, you also acknowledge that Privacy Policy.

These Terms are governed by and construed in accordance with the laws of India. Subject to any dispute-resolution provisions in a signed Agreement, courts in India will have jurisdiction over disputes arising out of these Terms or your use of this website.

Changes. We may update these Terms from time to time. The current version is always the one published on this page, with the "Last updated" date shown above. Continued use of the website after changes means you accept the updated Terms.

Entire agreement. These Terms, together with any Agreement and our Privacy Policy, are the entire agreement between us regarding their subject matter.

Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
